By accessing or using our services. with or without an active registration, you acknowledge that your continued use is subject to all terms and conditions outlined in this documentation.

If you are experiencing thoughts of suicide, considering actions that may cause harm to yourself or others, or believe that you or someone else is in immediate danger, you must immediately call your local emergency service number, notify the relevant authorities, and seek immediate in-person assistance. The Mentalley website prominently displays suicide hotline numbers and provides an index of national, regional, and state resources for mental health emergencies. We strongly encourage all users to utilize these resources when faced with an immediate or emergent crisis.

We reserve the right to modify the terms of this Agreement at any time. Changes may be communicated to you in writing or electronically, such as via email or by posting a notice on our Service indicating that the terms have been "updated" or similar wording. The revised terms will also be reflected in this document, which you can review at any time by visiting the Agreement link located in the footer of our website or in the Legal Notices section of our application. By continuing to use our Service after any modifications to this Agreement, you agree to be bound by the updated terms.

All services are to be used by individuals who are 18 years of age or older. If you are under 18, you may use services provided specifically for teens only under the supervision of a parent or guardian. You agree to pay all fees incurred for using our services through the Mentalley platform. Fees are charged per transaction and are non-refundable unless otherwise stated. We reserve the right to modify fees and charges at any time by notifying you in advance. Any changes will be reflected on our website, and you will have the opportunity to cancel your use of our services if you do not agree with the new fees. If you need to update your payment information or use a different payment method, please visit our Customer Care at www.mentalley.com/help. You are responsible for any fees or charges incurred through your internet service provider or other third-party services not owned by Mentalley.

To access the Services, you must first enroll and establish an individual user account (“Account”) by providing the necessary information as outlined in our Privacy Policy. You agree not to create more than one Account or create an Account for anyone else without obtaining prior consent from the respective individual. In exchange for your use of the Services and, if applicable, to enable Providers to communicate with you, you agree to provide true, accurate, current, and complete information about yourself as prompted by our Account enrollment form (noting that you may use a nickname during therapy sessions). Additionally, you agree to maintain and promptly update your Account information each time you log in to keep it true, accurate, current, and complete. If you provide any information that is untrue, inaccurate, not current, or incomplete, or if Mentalley has reasonable grounds to suspect such inaccuracies, Mentalley reserves the right to transition your treatment to another Provider outside of Mentalley or take other appropriate actions. You further certify that you are (i) over the age of eighteen (18) (for UK/EU users), or have the legal ability to consent to the Services or have your Parent/Guardian consent to the Services (for US users), and (ii) physically located or a resident of the State or Country you have chosen as your current residency when creating your Account. You are responsible for maintaining the confidentiality of your Account password and username (if any), and any other security information related to your Account at all times. Mentalley will not be liable for any loss that you incur as a result of someone else accessing and using your Account, either with or without your knowledge. You agree to pay all fees and charges associated with your Account in a timely manner, in accordance with the fee schedule and the terms and rates published by Mentalley from time to time. These fees and charges (including any applicable taxes and late fees) may be charged to the payment method you provided during the initial setup of your Account. You agree to maintain valid payment information in your Account. By providing Mentalley with your payment information, you authorize Mentalley to bill and charge your credit card or other payment method.

Mentalley's failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. Notices required to be given to you by Mentalley may be delivered by electronic mail to the address provided during the creation of your Account. These Terms constitute the entire agreement between Mentalley and you regarding the Service and supersede and replace any prior agreements you and Mentalley might have regarding the Service. Mentalley may revise these Terms from time to time without notice to you, except for material changes. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. We encourage you to read the Terms periodically.

You agree to indemnify and hold harmless Mentalley, its parent companies, subsidiaries, affiliates, and their respective successors and assigns, owners, directors, officers, managers, employees, shareholders, agents, representatives, advertisers, operators, suppliers, service providers, and licensors, from and against all losses, expenses, damages, and costs, including reasonable attorneys’ fees, arising in any way out of or in connection with your use of our Services, your breach or violation of this Agreement, or your User Content. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you and all negotiations for its settlement or compromise under this Section 15. In such event, you shall provide us with such cooperation as is reasonably requested by us.
